A3. Commercial License for Legal Entities (Commercial / Corporate Use, Per-Title / Title ID)

1. Purpose and Applicability

This Appendix applies to the use of Assets by Legal Entities, as well as by Individuals acting in the name of, on behalf of or in the interests of a Legal Entity or a Client.

2. Scope of Rights

A Legal Entity is granted a non-exclusive, perpetual, worldwide right to commercially use lawfully downloaded Assets within one Work (per-title), identified by means of a Title ID, unless otherwise expressly provided by the License Terms and Conditions.

3. Permitted Use

The following are permitted:

— advertising, marketing and presentation materials;

— corporate applications, simulators, training tools and educational materials;

— product, architectural, interior and engineering visualizations;

— official websites, landing pages and corporate social media;

— games, software and other interactive products, subject to the requirements of the License Terms and Conditions.

4. Special Restrictions

The following are prohibited:

— use of Assets outside the scope of the specific Work identified by Title ID, without obtaining a new license;

— stockpiling Assets “for future use” without a reasonable connection to the current Work (anti-warehousing);

— use of the license beyond one legal entity without a separate agreement;

— transfer of Assets to contractors and other persons beyond the necessity of working on the specific Work.

5. Special Rules

Title ID is mandatory upon each Download, unless otherwise expressly provided by the License Terms and Conditions. Contractors and employees may access Assets only on a need-to-know basis, exclusively for work on the licensee’s Work and subject to protection and confidentiality measures.

If the User is a contractor of a Client, the rights to the Assets must be covered by the Client’s license for the relevant Work.

6. General Reference

In all other respects not regulated by this Appendix, the License Terms and Conditions shall apply, including, among other things, the provisions on prohibitions and restrictions of use, anti-extraction, baked-in integration, re-download, Title ID, License Uplift, liability, interpretation and priority of documents.
