SUBSCRIPTION PRICES AND TERMS. RATES

This document sets forth the parameters of access to Assets in the ScanWOW Service, including (a) paid plans on a subscription basis and (b) the FREE access mode, which applies by default upon registration and/or in the absence of an active paid subscription. The FREE mode is not a subscription and does not require payment; however, the access parameters (formats, resolutions, presets, speed/queue, early access and other technical limitations) for it are defined by this document.

For the purposes of this document, the term “Rate” (Rate/Plan) means the relevant plan/mode of access to the Service, including the FREE mode, unless expressly stated otherwise. The term “Subscription” means paid Rates only, purchased for a fee on a recurring basis.

1. Terms and Relation to the License

1.1. This document is part of the ScanWOW Document Package and applies in conjunction with:

(i) ScanWOW Terms of Service (ToS);

(ii) Subscription Offer Agreement;

(iii) License Terms and Conditions, including Appendices A1–A5;

(iv) Privacy Policy;

(v) Personal Data Collection and Processing Policy.

The document priority order and special rules are established in the ToS; special provisions prevail over general provisions.

1.2. All access parameters for each Rate/access mode (including the presence or absence of quantitative limits on Selection/Download, the values of such limits, the rules for their calculation, as well as speed/queue/priority, available formats/resolutions/presets, early access and Extras) are defined by this document and, first and foremost, by the Rates table. Other documents in the Document Package do not establish numeric limit values and do not duplicate Rate parameters.

1.3. This document defines the price, scope, and technical parameters of access Rates to Assets on the Website, as well as billing rules.

1.4. License rights, restrictions, and the use regime for Assets are governed by the License Terms and Conditions (the master license) and its Appendices A1–A5. In case of discrepancies, the License Terms and Conditions (IP rights) prevail first, and then this Appendix (limits/functions).

1.5. Terms (“Asset”, “Selection”, “Download”, “Library”, “RDW”, “Title ID”, “NSFW”, “License Uplift”, “Seat”, etc.) are used in the meanings established by the master license.

1.6. “Billing Month” means a period of thirty (30) calendar days from the date and time of subscription (paid Rate) activation. “Billing Year” means a period of three hundred sixty-five (365) calendar days.

2. Plan Periods, Payment, and Auto-Renewal

2.1. The provisions of this section on payment, auto-renewal and billing periods apply only to paid Rates (subscriptions) and/or the purchase of Extras; for the FREE mode they apply only to the extent of describing access parameters.

2.2. Plans: (a) Monthly, (b) Annual (one-time payment for the Billing Year).

2.3. Auto-renewal is enabled by default and may be disabled by the User at checkout and in the account at any time prior to the charge date.

2.4. Cancelling auto-renewal stops renewal for the next period; access and parameters of the relevant Rate (including limits, if any, and included options, if applicable) remain in effect until the end of the already paid period. No rollover of unused limits/options and no partial refunds are provided unless expressly stated in promotion terms and/or required by law.

2.5. A price change does not affect an already paid period; new prices apply to all renewals and new purchases after notice of at least thirty (30) days.

3. Quotas, Rollover and Re-download

3.1. Limits (quotas) on Selection/Download. For each Rate/access mode, the parameter “Limit on primary Downloads of Standard Assets” (i.e., Assets not marked on the Website as Exclusive) may be established. Such a limit may be “unlimited” (no quantitative restrictions) or a numeric value (e.g., N per Billing Month). The existence, absence and value of the limit, as well as the rules for its calculation, are determined exclusively by the Rates table and the description of the relevant Rate. If a limit is set, it applies to primary Downloads (acquire) and is counted under the rules specified for the relevant Rate.

3.1.1. Technical load regulation (fair use). Regardless of whether a quantitative limit is set or an “unlimited” mode applies, the Website may apply technical load and fair use controls, including speed limitation, queuing of preparation/downloads, prioritization by Rate, and limiting the parallelism of preparation jobs. Such measures are not a “quota” and may be applied to ensure stability, security and the prevention of abuse (including extraction/warehousing, automation, and circumvention of technical restrictions).

3.2. Re-downloads (re-download).

(a) Standard Assets (not marked as Exclusive): re-downloads may be available to the User without quantity limits within the current parameters of the Rate/access mode (formats/resolutions/presets/export, speed/queue/priority) and subject to the availability of the relevant Asset in the Service. The Operator may apply technical load regulation and fair use under Clause 3.1.1.

(b) Exclusive Assets: re-downloads of Exclusive Assets previously acquired using Extras are permitted without re-charging Extras during the Exclusive Re-download Window (RDW-Exclusive) defined by this document (see Section 5 and/or the Rates table). Re-downloads are performed strictly within the parameters of the User’s current Rate/access mode at the time of download.

(c) After the RDW-Exclusive expires, re-downloading an Exclusive Asset requires a new Selection (acquire) and charging of Extras, unless expressly stated otherwise in the parameters of the relevant Rate in the Rates table.

3.3. “Editorial only”: such Assets are always used under A2 (Editorial License) regardless of the Rate.

4. Plan-to-License Type Eligibility (for Individuals / Sole Proprietors below thresholds)

4.1. FREE, WOW → permitted: A1 (Free/Non-Commercial), A2 (Editorial only).

4.2. PRO, UNLIM, UNLIM TEAMS → permitted: A4 (Commercial for Individuals); for Editorial only Assets — A2.

4.3. If the criteria of an Individual/Sole Proprietor are no longer met (income/funding thresholds), the transition to corporate tiers and the rules of the master license apply (§2.3.2–§2.3.5).

4.4. Holding a commercial license (A3/A4) means that commercial use is permitted only with respect to Assets that allow commercial use, and it does not restrict non-commercial use. If a specific Asset has a special status or use restriction (including, without limitation: Editorial only, Educational only, Non-commercial only, territorial restrictions, or restrictions by type of use), such restrictions prevail over the terms of the relevant Rate/access mode and apply regardless of which Rate/license type is otherwise available to the User.

5. Additional Options

5.1. Extras are additional paid or included-in-Rate units that grant the User the right to a one-time Selection and primary Download of an Exclusive Asset. Extras apply exclusively to Exclusive Assets and do not apply to Standard Assets (not marked as Exclusive).

5.2. Exclusive content: Exclusive Assets are available for Selection and primary Download via Extras (unless expressly stated otherwise for a specific Rate in the Rates table).

5.3. Extras may be purchased by the User regardless of the active Rate/access mode (including FREE), unless expressly stated otherwise on the Website. Using Extras does not change or expand the parameters of the User’s active Rate: Exclusive Assets are downloaded only within the available formats/resolutions/presets/export, speed/queue, and other parameters of the relevant Rate.

5.3.1. The price of Extras (including the price of Extras packs, if offered) is determined and displayed to the User in the Website interface prior to payment and/or in the relevant Website section.
The Website may offer the purchase of Extras packs and/or discounts (including “lower per-unit price when purchasing a larger quantity”). The specific terms, duration and applicability of discounts are indicated in the Website interface and apply as in effect at the time of payment. Offering a discount does not create an obligation to provide it in the future.

The price of Extras and any applied discount (if applicable) are recorded in the electronic receipt/invoice (and/or the transaction history in the account) and are determined by the data shown to the User in the interface at the time of purchase.

5.4. For Exclusive Assets acquired using Extras, the Exclusive Re-download Window (RDW-Exclusive) is established as twenty-four (24) months from the First Download Date (FDD), unless otherwise stated in the Rates table.

5.5. After the RDW-Exclusive expires, re-downloading an Exclusive Asset requires a new Selection (acquire) and charging of Extras, unless expressly stated otherwise in the Rates table.

5.6. Priority queue / extended export / presets: provided in the Rates where expressly stated. Technical access and export parameters (LOD, resolutions, formats, bit depth, color spaces, presets/export, speed/queue/priority) are defined by the parameters of the relevant Rate in the Rates table and may be changed under Section 6.

5.7. Restart / early renewal (“start-over”): at the User’s initiative, a new billing period may be started early with refreshed parameters and limits (if any). Previously obtained rights to already downloaded Assets are preserved; the RDW is not reset.

5.8. License Uplift (A1/A5 → A4; A4 → A3 per-title): available via the Website interface; governed by §2.2.10 of the master license. As of the date of this version, the upgrade price is set and published on the Website on the option card; a zero-price promotion is possible and does not create an obligation to maintain a zero price in the future.

5.9. Exclusive content: available only in the Rates where expressly stated.

5.10. NSFW content: available only in the Rates where expressly stated; access is granted to adults and in compliance with §3.12 of the master license.

5.11. Priority queue / extended export / presets: provided in the Rates where expressly stated. Technical limits (LOD, resolutions, formats, bit depth, color spaces) are provided at the “service maxima” available at the time of download and may change without prior notice.

5.12. Early Access. Certain Assets may be provided in an early access mode for a limited period (“Early Access Window”). The availability of Assets during early access and/or time-based delay of access are parameters of the Rate/access mode and are determined by the Rates table and the relevant Rate description. When switching Rates, the parameters of the new Rate apply; in the absence of an active paid subscription, the FREE mode applies.

6. Changes to the Service Scope and Technical Parameters

6.1. The Website may change the feature set of Rates, technical limits, the list of available Assets, and content statuses (including withdrawal/replacement) in the manner established by the master license (§7.6) and this document.

6.2. Material changes to Rates are published on the Website. If a change worsens the conditions of an already paid period, the previously provided Rate parameters (including limits, if any, and included options, if applicable) remain effective until the end of that period, except as provided by §7.6 of the master license (Asset withdrawal on legal/security grounds).

7. Taxes, Currency, and Payment Systems

7.1. Prices are stated in USD excluding indirect taxes; taxes are charged in accordance with applicable law.

7.2. Exchange differences, payment service fees, and bank fees are borne by the User.

7.3. Receipts/invoices are generated and available in the account and/or upon request.

8. UNLIM TEAMS — Additional Terms

8.1. Minimum three (3) Seats. Payment is made upfront for the entire Billing Year based on the number of Seats.

8.2. Each Seat is a named access for one User. Sharing is prohibited; temporary Seat transfer is permitted no more than once per 90 days, with the prior user’s access revoked.

8.3. Limits (if any) and access parameters apply to each member separately. No “shared library for future use” is formed; a member’s Selections/Downloads are accounted for on that member’s account.

8.4. The team owner ensures access management (SAML/SSO/2FA) and is responsible for the actions of members.

8.5. If the team effectively acts on behalf of/in the interests of a legal entity or if corporate thresholds are reached, A3 (per-title/Title ID) applies under the master license; the Website may suspend Selections/Downloads until the status is resolved.

9. Promotions and Special Terms

9.1. The Website may run promotions (temporary prices, additional quotas and/or other access parameters, free License Uplift), specifying the duration/terms. After a promotion ends, standard terms apply.

9.2. Promotions are not cumulative unless expressly stated otherwise.

10. Compliance Control and Abuse

10.1. The Website may monitor anomalies and indications of abuse (including extraction/warehousing, automation, circumvention of technical restrictions and queues, account/Seat sharing, attempts to bypass anti-warehousing/Title ID) and apply protection and fair use measures, including temporary technical load regulation: speed limitation, queuing/delays in preparation, limiting parallelism of jobs, prioritization by Rate, and temporary restriction of new Selections/primary Downloads pending investigation.

10.2. In case of confirmed violations, measures under the master license (Section 4) and this document apply (suspension of Selections/Downloads, annulment of quotas/promotions, disabling auto-renewal, termination).

11. Effective Date and Amendments

11.1. This document becomes effective as of publication on the Website and applies to new purchases/renewals after that date.

11.2. Revision history is stored on the Website and is provided upon request.

12. Rates (Individuals and Sole Proprietors below thresholds)

12.1. Plan Name - FREE

Price per month, USD: 0.00

Plan Content: The “FREE” mode is provided to the User by default upon registration in the Service (not a subscription).
Limit on primary Downloads of Standard Assets (non-Exclusive): unlimited.
Exclusive Assets are available via Extras under Section 5 of this document.
At the end of the Billing Month, the limit (if any) is renewed; rollover is not permitted unless expressly stated otherwise.

License Type:

A1 — Free/Non-Commercial License (Appendix A1 to the License Terms and Conditions);
A2 — Editorial License (Appendix A2);
A5 — Educational/Training Use (Appendix A5).

Available Functionality: The “FREE” mode is provided to the User by default upon registration in the Service (not a subscription).
Limit on primary Downloads of Standard Assets (non-Exclusive) during one Billing Month from the registration date: unlimited.
Exclusive Assets are available via Extras under Section 5 of this document and are downloaded within the FREE parameters.
At the end of the Billing Month, the limit (if any) is renewed; rollover is not permitted unless expressly stated otherwise.
Extra models: not included.
3D model levels of detail (LOD): one level is provided — MID.
Maximum available texture resolution: up to 512×512 px.
Supported color space: sRGB, non-color.

12.2. Plan Name - WOW

Price per month, USD: 14.90/month
Annual: equivalent of USD 9.90/month × 12 (paid upfront for the year)

Plan Content: The “WOW” Rate is provided to the User on a subscription basis.
Limit on primary Downloads of Standard Assets (non-Exclusive): unlimited.
Exclusive Assets are available via Extras under Section 5 of this document. Included Extras: 0 (available for purchase).

License Type:

A1 — Free/Non-Commercial License (Appendix A1);
A2 — Editorial License (Appendix A2);
A5 — Educational/Training Use (Appendix A5).

Annual: equivalent of USD 29.90/month × 12 (paid upfront for the year)

Plan Content: The “PRO” Rate is provided to the User on a subscription basis.
Limit on primary Downloads of Standard Assets (non-Exclusive): unlimited.
Included Extras: 10 (ten) per Billing Month (no rollover). Extras apply exclusively to Exclusive Assets.

License Type:

A1 — Free/Non-Commercial License (Appendix A1);
A2 — Editorial License (Appendix A2);
A3 — GameDev License (Appendix A3);
A4 — Commercial/Corporate Use (Appendix A4);
A5 — Educational/Training Use (Appendix A5).

Included Extras: unlimited (may be changed by the Rate parameters). Extras apply exclusively to Exclusive Assets.

License Type:

Available Functionality: Limit on primary Downloads of Standard Assets (non-Exclusive) during one Billing Month: unlimited.
Exclusive Assets are available via Extras under Section 5 of this document and are downloaded within the UNLIM parameters.
Included: unlimited Extras per Billing Month.
At the end of the Billing Month, the limit (if any) is renewed; rollover is not permitted unless expressly stated otherwise.
3D model LOD: MID, LOW, HIGH.

Annual: equivalent of USD 99.90/month × 12 (paid upfront for the year) per User

Plan Content: The “UNLIM TEAMS” Rate is provided to the User on a subscription basis.
Limit on primary Downloads of Standard Assets (non-Exclusive): unlimited (per Seat).
Included Extras: unlimited (per Seat; may be changed by the Rate parameters). Extras apply exclusively to Exclusive Assets.

License Type:

12.5. Rates apply within the terms set forth in the Subscription Offer Agreement, the License Terms and Conditions, and other documents establishing the terms of payment for the Website services by the User, published on the Website in the relevant section.

The Website may unilaterally change the terms and prices of Rates with at least thirty (30) days’ notice to the User by: sending an email to the address provided by the User at registration, and/or publishing on the Website (in the user account and/or on the rates information page).
